Colina del Paraíso already has almost everything it takes to be the best padel destination on this part of the coast: the location, the apartments, the restaurant, the pools and a sports area that today produces a fraction of what it could. It is missing two things. A real club, and a reason for northern Europe to come to Benahavís between November and March.
This document proposes both, joined in a single plan, and incorporates the three ideas you put on the table: that the works should not come out of your treasury, that the resort should be able to use the courts, and that we should be the ones selling your apartments in low season. All three are inside.

The three requests you made are good ideas, and they have changed the project for the better. This is how we have incorporated them.

By putting all three into the same plan, the project stopped being a lease and became a joint operation: we build and operate, you contribute the site and the accommodation, and we both sell the same thing to the same customers. The rent-only structures we proposed in July fell short of that — they shared the land, not the business. That is why this plan is built around your participation, and why it pays you considerably more.
Your capital is not invested in our asset: it is invested in yours. It goes entirely into the works that stay on your plot —demolition of the tennis courts, foundations and slabs, drainage, utilities and the new reception— and reverts to you at the end of the term. In exchange, you stop collecting only a rent and start collecting through three channels: the land, the club's revenue and the company's dividend.

Based on the revenue and EBITDA of the July 2026 financial model, which you can audit line by line. 20-year rent with CPI indexation estimated at 2% per year.
The €200,000 of C1 turns a ground rent into just over €1.25 million plus dividends, and it is still construction paid for on your own plot. C2 raises the participation to 14% and gives you a vote on the club's annual budget, for an owner who prefers to be fully inside.
In both cases the participation can be increased up to 25% with a proportionally larger investment, on the same terms as the lead investor. And in both cases you keep tag-along rights if the lead investor sells, a right of first refusal over his shares, and a preferential option to buy 100% of the club at the end of the initial term: if the club works, you hold the first key to keep the whole of it.
From opening day, Colina del Paraíso has six panoramic courts, a school, tournaments and a sports team at the door. With no works, no staff and no maintenance at your expense. This is how the resort's access works.

Outside the block, the preferential rate and the clinics, court time is invoiced. And it is in your interest that it should be: since you collect a percentage of the club's revenue, every hour given away is deducted from your own variable income. With the prepaid block, on the other hand, the resort's use is guaranteed and doesn't depend on a Saturday afternoon's availability.
This is the part that excites us most, and the one that can change your P&L the most. Today the resort closes in winter and invoices zero for five months while fixed costs keep running. In Stockholm, Amsterdam or Munich, in those same months, you cannot play outdoors. The Costa del Sol has 17 degrees and sunshine.
That mismatch is a market, and it is exactly the market where Esteban has a name and contacts. The proposal is to position Colina del Paraíso as the Padel Training Resort of Benahavís: eight camps per season of one and two weeks, groups of sixteen to twenty-four players plus companions, training in the morning, matches in the afternoon and half board at the resort's restaurant. On top of that come Stay & Play packages, visiting-club training weeks and corporate events.

Each night is paid through one channel or the other, never both. There is no double commission.
To sell a camp week in Sweden we compete against hotels in Alicante, Estepona and Portugal that have worked with those clubs for years. The only way to win those bookings is to arrive with a closed package and a price that justifies the flight. That price is built on the accommodation rate, which is why we ask for a preferential net rate: the better it is, the more of your nights we sell.

Accommodation: 1,120 camp room-nights at a net winter rate (€95 public, –25%) plus 300 referral nights at €130, net of commission. Eight camps per season, twenty guests, seven nights. Prudent figures: they include no corporate events or visiting-club training weeks, which come on top.

The club doesn't open when the contract is signed, but fourteen to eighteen months later: the major-works licence and the activity licence take six to eight months in Benahavís, construction five, and pre-opening two. And winter camps are not sold on the fly: Nordic clubs close their pre-season almost a year in advance, so the first season we can sell has to go on the market long before we open.

With the term sheet signed before 30 September 2026, the club opens in time to sell the 2027–2028 winter season. Past that date, the opening slips a full cycle and the first sellable winter moves to 2028–2029: the project isn't lost, a year of revenue is — a good part of it yours. That is the only reason we insist on the timeline.
The capital and the team are committed to this site and to this season. We would rather do it here, and we would rather do it with you.
There are three ways to make that sports area produce. You can refurbish it yourself, with your money and your risk, and build the team to run it. You can lease it to a third party for a small rent and walk away. Or you can do this: let someone else put in the works, the debt, the staff and the risk; keep the asset at the end; collect a rent from year one; share in the club's revenue; and, with an investment that never leaves your own plot, take a seat in the equity of the company that runs it.
And above all of that, the part no lease will ever give you: five closed months turned into a season, with a sales team that only makes money when your apartments fill up.
Colina del Paraíso tiene ya casi todo lo que hace falta para ser el mejor destino de pádel de esta parte de la costa: la ubicación, los apartamentos, el restaurante, las piscinas y una zona deportiva que hoy rinde una fracción de lo que puede. Le faltan dos cosas. Un club de verdad, y un motivo para que el norte de Europa venga a Benahavís entre noviembre y marzo.
Este documento propone las dos, unidas en un solo plan, y recoge las tres ideas que usted puso sobre la mesa: que la obra no salga de su tesorería, que el complejo pueda usar las pistas, y que seamos nosotros quienes vendamos sus apartamentos en temporada baja. Las tres están dentro.

Al meter las tres en el mismo plan, el proyecto dejó de ser un arrendamiento y pasó a ser una operación conjunta: nosotros construimos y operamos, usted aporta el emplazamiento y el alojamiento, y los dos vendemos lo mismo a los mismos clientes. Las estructuras de solo alquiler que planteamos en julio se han quedado cortas para eso —repartían el suelo, no el negocio—. Por eso este plan se articula sobre su participación, y por eso le paga bastante más.
Su capital no se invierte en nuestro activo: se invierte en el suyo. Va íntegramente a la obra que se queda en su parcela —demolición del tenis, cimentación y soleras, saneamiento y drenaje, instalaciones y la nueva recepción— y revierte a usted al vencimiento. A cambio, deja de cobrar solo una renta y pasa a cobrar por tres vías: el suelo, los ingresos del club y el dividendo de la sociedad.

Sobre los ingresos y el EBITDA del modelo financiero de julio de 2026, que puede auditar línea a línea. Renta a 20 años con actualización al IPC estimada al 2 % anual.
Los 200.000 € de la C1 convierten una renta de suelo en algo más de 1,25 millones más dividendos, y siguen siendo obra pagada sobre su propia parcela. La C2 sube la participación al 14 % y le da voto sobre el presupuesto anual del club, para quien prefiera estar dentro del todo.
En ambos casos la participación es ampliable hasta el 25 % con una inversión proporcionalmente mayor, en las mismas condiciones que el inversor principal. Y en ambos casos conserva el derecho de acompañamiento si el inversor principal vende, el derecho de tanteo sobre sus participaciones y la opción preferente de comprar el 100 % del club al término del plazo inicial: si el club funciona, usted tiene la primera llave para quedárselo entero.
Desde el día de la apertura, Colina del Paraíso tiene seis pistas panorámicas, escuela, torneos y un equipo deportivo en la puerta. Sin obra, sin personal y sin mantenimiento a su cargo. Así queda el acceso del complejo.

Fuera del bono, de la tarifa preferente y de los clinics, la hora de pista se factura. Y conviene que así sea también para usted: como cobra un porcentaje de los ingresos del club, cada hora que se regala se descuenta de su propia renta variable. Con el bono prepagado, en cambio, el uso del complejo está garantizado y no depende de la disponibilidad de un sábado por la tarde.
Esta es la parte que más nos entusiasma, y la que más puede cambiar su cuenta de resultados. Hoy el complejo cierra en invierno y factura cero durante cinco meses con los costes fijos corriendo. En Estocolmo, Ámsterdam o Múnich, en esos mismos meses, no se puede jugar al aire libre. La Costa del Sol tiene 17 grados y sol.
Ese desajuste es un mercado, y es exactamente el mercado en el que Esteban tiene nombre y contactos. La propuesta es posicionar Colina del Paraíso como el Padel Training Resort de Benahavís: ocho camps por temporada de una y dos semanas, grupos de dieciséis a veinticuatro jugadores más acompañantes, entrenamiento por la mañana, partidos por la tarde y media pensión en el restaurante del complejo. A eso se suman paquetes Stay & Play, concentraciones de clubes visitantes y eventos de empresa.

Cada noche se cobra por una vía o por la otra, nunca por las dos. No hay doble comisión.
Para vender una semana de camp en Suecia competimos contra hoteles de Alicante, Estepona y Portugal que ya trabajan con esos clubes desde hace años. La única forma de ganar esas reservas es llegar con un paquete cerrado y un precio que compense el vuelo. Ese precio se construye sobre la tarifa de alojamiento, y por eso le pedimos una tarifa neta preferente: cuanto mejor sea, más noches suyas vendemos.

El club no abre cuando se firma, sino catorce a dieciocho meses después: la licencia de obra mayor y la de actividad se llevan de seis a ocho meses en Benahavís, la obra cinco y la preapertura dos. Y los camps de invierno no se venden sobre la marcha: los clubes nórdicos cierran su pretemporada con casi un año de antelación, así que la primera temporada que podemos vender hay que empezar a comercializarla mucho antes de abrir.

Con el term sheet firmado antes del 30 de septiembre de 2026, el club abre a tiempo de vender la temporada de invierno 2027–2028. Si se pasa esa fecha, la apertura se desplaza un ciclo entero y el primer invierno vendible se va a 2028–2029: no se pierde el proyecto, se pierde un año de ingresos — buena parte de ellos suyos. Es la única razón por la que insistimos con el calendario.
El capital y el equipo están comprometidos con este emplazamiento y con esta temporada. Preferimos hacerlo aquí, y preferimos hacerlo con usted.
Hay tres maneras de que esa zona deportiva produzca. Puede reformarla usted, con su dinero y su riesgo, y montar el equipo que la explote. Puede alquilarla a un tercero por una renta pequeña y desentenderse. O puede hacer esto: que la obra, la deuda, el personal y el riesgo los ponga otro, quedarse el activo al final, cobrar una renta desde el primer año, participar en los ingresos del club y, con una inversión que no sale de su parcela, sentarse en el capital de la sociedad que lo explota.
Y por encima de todo eso, la parte que ningún arrendamiento le va a dar: cinco meses cerrados convertidos en temporada, con un equipo comercial que solo gana dinero cuando sus apartamentos se llenan.
